By accessing or using HostMic ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.
These Terms apply to all users of the Service, including event hosts, organization administrators, and event attendees.
2. Description of Service
HostMic is an event communication platform that enables event hosts to broadcast messages to attendees via SMS and WhatsApp. Key features include:
- QR code-based attendee registration
- SMS and WhatsApp message broadcasting
- Event management and analytics
- Delivery tracking and reporting
3. User Accounts
3.1 Account Creation
To use certain features of the Service, you must create an account. You agree to:
- Provide accurate and complete information
- Maintain the security of your account credentials
- Promptly update any changes to your information
- Accept responsibility for all activities under your account
3.2 Account Termination
We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activity.
4. Acceptable Use
You agree not to use the Service to:
- Send unsolicited or spam messages
- Send messages to recipients who have not opted in
- Transmit harmful, threatening, or illegal content
- Impersonate another person or entity
- Violate any applicable laws or regulations
- Interfere with or disrupt the Service
- Attempt to gain unauthorized access to systems or data
- Harvest or collect user information without consent
5. Messaging Compliance
5.1 Consent Requirements
As a host, you are responsible for ensuring that all recipients have provided valid consent to receive messages. HostMic uses a double opt-in process where attendees must confirm their registration.
5.2 Regulatory Compliance
You agree to comply with all applicable messaging regulations, including:
- TCPA (Telephone Consumer Protection Act) in the United States
- GDPR (General Data Protection Regulation) in the European Union
- Australian Privacy Act and Spam Act
- Any other applicable local laws and regulations
5.3 Opt-Out Handling
HostMic automatically processes opt-out requests when recipients reply "STOP" to any message. You agree not to send further messages to opted-out recipients.
6. Fees and Payment
6.1 Pricing
Fees for the Service are based on usage, including the number of registered attendees and messages sent. Current pricing is communicated during account setup and may be updated with notice.
6.2 Payment Terms
Invoices are issued after event completion based on attendee registrations. Payment is due within 7 days of invoice date unless otherwise agreed.
6.3 Messaging Costs
SMS and WhatsApp messaging costs are included in our pricing. Excessive or abusive messaging may result in additional charges or service suspension.
7. Intellectual Property
7.1 Our Property
The Service, including its design, features, and content, is owned by HostMic and protected by intellectual property laws. You may not copy, modify, or distribute our materials without permission.
7.2 Your Content
You retain ownership of content you create, including event details and messages. You grant us a license to use this content as necessary to provide the Service.
8. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.
9. Disclaimers
9.1 Service Availability
We strive to maintain high availability, but the Service is provided "as is" without guarantees of uninterrupted access. We are not liable for service outages or delays.
9.2 Message Delivery
While we work to ensure message delivery, we cannot guarantee that all messages will be delivered. Delivery depends on third-party carriers and recipient devices.
9.3 No Warranty
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOSTMIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA, ARISING FROM YOUR USE OF THE SERVICE.
Our total liability for any claim arising from these Terms shall not exceed the amount you paid to us in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless HostMic and its officers, directors, employees, and agents from any claims, damages, or expenses arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Content you transmit through the Service
12. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the new Terms.
13. Governing Law
These Terms are governed by the laws of New South Wales, Australia. Any disputes arising from these Terms shall be resolved in the courts of New South Wales, Australia.
14. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
